Finak Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you and Scylla Technologies LLC, a Georgia limited liability company (“Scylla Technologies,” “Finak,” “we,” “our,” or “us”), governing your access to and use of the Finak mobile application, website, software, features, and related services (collectively, the “Services”).

Finak is a product of Scylla Technologies LLC.

PLEASE READ THESE TERMS CAREFULLY.

BY DOWNLOADING, ACCESSING, CREATING AN ACCOUNT FOR, OR USING FINAK, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS AND OUR PRIVACY POLICY.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE FINAK.

FOR USERS IN THE UNITED STATES, SECTION 22 CONTAINS AN ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER THAT MAY AFFECT YOUR LEGAL RIGHTS. THESE PROVISIONS APPLY ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.

1. About Finak

Finak is a family connectivity and location-sharing application designed to help families and trusted groups stay connected.

Depending on the features available to you, Finak may allow users to share real-time or recent location information, view trusted family or Group members on a map, receive arrival or departure notifications, create saved places, receive location-related alerts, communicate with Group members, and use other family-connectivity or safety-related features.

Features may change, be added, or be removed over time.

2. Eligibility

You must be legally capable of entering into these Terms.

If you are under 18 years old, you may use Finak only with the authorization and supervision of your parent or legal guardian.

If applicable law requires parental consent for your use of Finak or for the collection of your personal information, your parent or legal guardian must provide that consent.

By allowing a minor to use Finak, a parent or legal guardian agrees to these Terms on behalf of the minor and accepts responsibility for the minor’s use of the Services.

Parents and guardians are responsible for deciding whether Finak is appropriate for their children.

3. Accounts

Certain Finak features require an account.

You agree to provide accurate and current information and to keep information associated with your account reasonably accurate.

Finak may authenticate accounts through a mobile phone number, one-time password (“OTP”), email address, third-party authentication service, or another verification method.

You are responsible for maintaining control of your device, phone number, authentication credentials, and Finak account.

You must not knowingly allow an unauthorized person to access your account.

Notify us promptly at [email protected] if you believe your account has been compromised.

You are generally responsible for activity performed through your account unless applicable law provides otherwise.

4. Family and Trusted Groups

Finak may allow users to create or participate in families, Circles, or other trusted groups (“Groups”).

Groups are intended to consist of people who know and trust one another.

When you join a Group and enable location sharing, other authorized Group members may be able to see information about you, including your current location, last-known location, location history where available, saved-place activity, arrival or departure activity, profile information, and certain information about your device or location status.

You are responsible for understanding who belongs to your Group and with whom you are sharing information.

Do not invite people you do not know or trust into a private Group.

5. Consent to Location Sharing

Location sharing is a core component of Finak.

By enabling location access or location-sharing features, you instruct Finak to collect and process location information necessary to provide those features.

Depending on your device permissions, this may include precise GPS information and background location information even when Finak is not actively displayed on your screen.

You can control location permissions through your device settings and, where available, through Finak settings.

Disabling location access may prevent some or all location-related features from functioning properly.

You must not enable location tracking for another person unless you have the legal authority or consent necessary to do so.

6. No Secret Tracking, Stalking, or Harassment

Finak is designed for consensual family and trusted-person location sharing.

You may not use Finak to secretly track, stalk, harass, threaten, intimidate, surveil, abuse, or monitor another person without appropriate authorization or legally required consent.

You may not install, configure, or operate Finak on another person’s device for covert surveillance.

You may not attempt to disguise Finak’s operation for the purpose of secretly monitoring another person.

You may not use information obtained through Finak to commit or facilitate violence, abuse, harassment, discrimination, theft, fraud, or another unlawful act.

Scylla Technologies may suspend or terminate accounts that we reasonably believe are being used for unauthorized surveillance, stalking, harassment, abuse, or unlawful activity.

Where appropriate and legally permitted, we may cooperate with law enforcement concerning credible threats, stalking, abuse, or other unlawful activity.

7. Important Safety Limitations

FINAK IS NOT AN EMERGENCY SERVICE.

Finak does not replace emergency services, police, fire services, medical services, roadside assistance, child-protection authorities, or other professional safety services.

If you believe that you or another person is in immediate danger or experiencing an emergency, contact the appropriate local emergency authority.

In the United States, this may include calling 911.

In Morocco, contact the appropriate Moroccan emergency authority for the situation.

You should not rely exclusively on Finak to determine whether another person is safe.

8. Location Accuracy Is Not Guaranteed

Location technologies have inherent technical limitations.

Finak location information may be delayed, incomplete, unavailable, or inaccurate because of factors outside our control, including GPS signal quality, buildings, tunnels, weather, device settings, operating-system restrictions, battery level, battery-saving features, cellular availability, Wi-Fi availability, Internet connectivity, device hardware, permissions, background-processing restrictions, third-party mapping services, or service outages.

A displayed Finak location should therefore be considered an estimate and should not be treated as guaranteed proof that a person is or was at a particular location.

Finak does not guarantee continuous, uninterrupted, real-time, or perfectly accurate location information.

9. Driving and Safe Device Use

Do not interact with Finak while driving or operating a vehicle in a manner that could distract you or violate applicable law.

You are responsible for complying with traffic, distracted-driving, and mobile-device laws.

Location information should not be used in a way that creates a safety risk while operating a vehicle.

10. Children and Family Accounts

Finak may be used by families with children and teenagers.

Parents and legal guardians are responsible for supervising a minor’s use of Finak and deciding who may belong to Groups containing the minor.

A parent or guardian who creates, approves, or manages a minor’s account represents that they have the authority to do so.

Additional requirements concerning children’s information are described in our Finak Privacy Policy.

Finak does not authorize adults to use a child’s account or device to engage in unlawful surveillance, abuse, exploitation, or conduct inconsistent with the child’s legal rights.

11. Acceptable Use

You agree to use Finak lawfully and responsibly.

You may not use the Services to violate applicable laws; infringe another person’s privacy or intellectual-property rights; impersonate another person; submit false identity or account information for fraudulent purposes; interfere with Finak’s systems; bypass security measures; reverse engineer the Services except where expressly permitted by applicable law; introduce malware or malicious code; access another person’s account without authorization; scrape or automatically extract information from Finak without authorization; overload or disrupt our infrastructure; misuse location information; attempt to discover vulnerabilities without written authorization; or use Finak to facilitate criminal or harmful activity.

We may investigate suspected violations and take reasonable action to protect users and the Services.

12. Your Content

Finak may allow you to submit information, profile photographs, place names, messages, or other content (“User Content”).

You retain ownership of User Content you create.

By providing User Content to Finak, you grant Scylla Technologies a limited, worldwide, non-exclusive license to host, store, process, reproduce, display, and transmit that content only as reasonably necessary to operate, secure, maintain, and improve the Services.

You represent that you have the necessary rights to provide User Content to Finak.

You must not upload content that violates another person’s rights or applicable law.

13. Privacy

Our collection and processing of personal information is governed by the Finak Privacy Policy.

The Privacy Policy forms an important part of your relationship with Finak and should be reviewed before using location-sharing features.

Among other things, our Privacy Policy explains how Finak processes precise location information, children’s information, Group information, technical information, and account information.

14. Third-Party Services

Finak may depend on or integrate with third-party technologies such as mapping providers, cloud infrastructure, telecommunications providers, authentication providers, analytics providers, push-notification services, app stores, and payment processors.

Scylla Technologies does not control every aspect of third-party services.

A third party’s own terms and privacy policy may govern your direct relationship with that third party.

Failures or changes involving a third-party provider may occasionally affect Finak’s availability or functionality.

15. Free and Paid Services

Finak may offer free features, paid features, subscriptions, trials, promotional plans, or other plans.

Features and prices may vary by country, platform, subscription level, or promotional offer.

Before you purchase a paid service, applicable pricing and material purchase terms will be displayed to you.

We may change future pricing or introduce new plans, subject to applicable law.

Changes to subscription pricing will not be applied retroactively to amounts already paid.

16. Subscriptions and Automatic Renewal

If Finak offers a recurring subscription, the subscription may automatically renew unless canceled before the applicable renewal date.

Before purchasing a subscription, you will be shown the subscription price and billing frequency.

Where a subscription is purchased through the Apple App Store or Google Play Store, billing, renewal, payment processing, refunds, and cancellation may be handled by Apple or Google under their applicable terms.

You generally must manage or cancel an app-store subscription through the same platform through which you purchased it.

Where Finak bills you directly, the specific checkout terms displayed at purchase will govern your subscription.

Nothing in these Terms limits refund, cancellation, or withdrawal rights that cannot legally be waived.

17. Moroccan Consumer Rights

For users in Morocco, these Terms are intended to operate consistently with applicable Moroccan consumer-protection laws, including Law No. 31-08, where applicable.

Nothing in these Terms is intended to eliminate or restrict mandatory consumer rights that Scylla Technologies cannot legally exclude.

Where applicable, Moroccan consumers retain statutory rights concerning clear information regarding services and pricing, unfair contractual terms, certain distance transactions, and applicable cancellation or withdrawal rights.

If a provision of these Terms conflicts with a mandatory consumer right under Moroccan law, the mandatory legal requirement will control for the affected Moroccan consumer.

18. Changes to Finak

We are constantly developing Finak.

We may modify, update, add, replace, suspend, or discontinue features.

We may make changes for reasons including product development, security, regulatory requirements, technical limitations, business requirements, provider changes, or user safety.

We will provide notice where required by applicable law.

We do not guarantee that every current feature will remain available indefinitely.

19. Suspension and Termination

You may stop using Finak at any time.

Where available, you may delete your account through the Finak application or by contacting us.

Scylla Technologies may suspend, restrict, or terminate access to Finak if we reasonably believe you violated these Terms, created a security risk, used Finak for unlawful surveillance or abuse, committed fraud, threatened another person, interfered with our systems, or where suspension is necessary to comply with law.

Where appropriate, we may provide notice and an opportunity to address the issue.

Serious safety, security, fraud, abuse, or legal concerns may require immediate action.

Termination does not eliminate obligations that by their nature should survive termination.

20. Intellectual Property

Finak, its software, application design, interfaces, graphics, branding, logos, documentation, databases, software code, and other proprietary materials are owned by or licensed to Scylla Technologies LLC and are protected by applicable intellectual-property laws.

These Terms give you a limited, personal, revocable, non-exclusive, non-transferable right to use Finak for its intended purpose.

They do not transfer ownership of Finak or its intellectual property to you.

You may not copy, resell, sublicense, distribute, reproduce, modify, or commercially exploit Finak except as expressly permitted by Scylla Technologies or applicable law.

21. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FINAK IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

SCYLLA TECHNOLOGIES DOES NOT GUARANTEE THAT FINAK WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT LOCATION INFORMATION WILL ALWAYS BE ACCURATE OR CURRENT.

FINAK DOES NOT GUARANTEE THAT A USER WILL RECEIVE AN ALERT, NOTIFICATION, LOCATION UPDATE, OR OTHER COMMUNICATION WITHIN ANY PARTICULAR PERIOD.

FINAK IS A FAMILY-CONNECTIVITY TOOL AND IS NOT A SUBSTITUTE FOR PROFESSIONAL SECURITY, MEDICAL, EMERGENCY, LAW-ENFORCEMENT, OR SUPERVISION SERVICES.

SOME JURISDICTIONS DO NOT PERMIT CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THESE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT LEGALLY PERMITTED.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCYLLA TECHNOLOGIES LLC AND ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO FINAK.

THIS INCLUDES, WHERE LEGALLY PERMITTED, DAMAGES ARISING FROM LOSS OR INTERRUPTION OF LOCATION DATA, DELAYED OR INACCURATE LOCATION INFORMATION, MISSED NOTIFICATIONS, SERVICE INTERRUPTIONS, LOSS OF DATA, UNAUTHORIZED ACTS BY OTHER USERS, OR RELIANCE ON LOCATION INFORMATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCYLLA TECHNOLOGIES’ AGGREGATE LIABILITY ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT YOU PAID TO FINAK DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(B) US $100.

These limitations do not apply where liability cannot legally be excluded or limited, including rights available under mandatory consumer-protection law.

23. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Scylla Technologies LLC and its affiliates, directors, officers, employees, and agents from claims, damages, liabilities, losses, and reasonable expenses resulting from your unlawful use of Finak, violation of these Terms, violation of another person’s rights, unauthorized tracking or surveillance, User Content you provide, or your fraudulent or intentionally harmful conduct.

This provision does not apply to the extent prohibited by applicable consumer law.

24. U.S. Dispute Resolution and Arbitration

This section applies to users in the United States to the extent permitted by applicable law.

Before starting formal arbitration, you and Scylla Technologies agree to attempt to resolve a dispute informally.

If the dispute cannot be resolved within 30 days after receipt of the notice, either party may initiate arbitration.

Except for eligible small-claims cases and requests for injunctive relief relating to misuse of intellectual property, security, stalking, unauthorized access, or similar urgent matters, disputes arising from these Terms or Finak will be resolved through binding individual arbitration administered by the American Arbitration Association (“AAA”) under applicable AAA Consumer Arbitration Rules.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

ARBITRATION WILL TAKE PLACE ON AN INDIVIDUAL BASIS. YOU AND SCYLLA TECHNOLOGIES WAIVE THE RIGHT TO HAVE COVERED CLAIMS DECIDED BY A JURY OR TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION, TO THE EXTENT SUCH WAIVER IS PERMITTED BY LAW.

You may opt out of this arbitration agreement by emailing [email protected] within 30 days after first accepting these Terms.

Your message should state that you are opting out of the Finak arbitration agreement and provide the phone number or email address associated with your Finak account.

Opting out of arbitration will not affect your ability to use Finak.

25. Governing Law

For users in the United States, these Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except to the extent federal law applies.

Where a dispute is not subject to arbitration, you and Scylla Technologies consent to the jurisdiction of appropriate courts located in Georgia, except where applicable consumer law gives you the right to bring a dispute in another jurisdiction.

For users in Morocco, mandatory provisions of Moroccan law, including applicable consumer-protection and personal-data laws, continue to apply regardless of this choice-of-law provision where those laws cannot legally be waived.

For users elsewhere, mandatory rights provided by the laws of their place of residence remain unaffected where applicable law requires them to apply.

26. Apple App Store Terms

If you download Finak through Apple’s App Store, you acknowledge that these Terms are between you and Scylla Technologies, not Apple.

Apple is not responsible for providing or supporting Finak except as required under Apple’s own policies or applicable law.

Apple and its subsidiaries may be third-party beneficiaries of provisions of these Terms applicable to your use of the iOS application and may enforce those provisions where permitted.

Your use of Finak must comply with applicable App Store rules.

27. Google Play Terms

If you download Finak through Google Play, your use of Finak must also comply with applicable Google Play terms and policies.

Google is not responsible for Finak or for services provided by Scylla Technologies except to the extent expressly required by Google’s own terms or applicable law.

28. International Use

Finak is operated by Scylla Technologies LLC in the United States and may be available in multiple countries.

You are responsible for complying with laws applicable to your use of Finak in your location.

Certain features may not be available in every country because of legal, technical, operational, or product requirements.

29. Electronic Communications

By creating or using a Finak account, you agree that we may communicate electronically with you regarding your account and the Services.

These communications may include authentication codes, security notices, account notices, legal notices, transaction information, subscription notices, and important service communications.

Where marketing consent is legally required, marketing communications will be handled separately from communications necessary to operate your account.

30. Changes to These Terms

We may update these Terms as Finak evolves or as legal and regulatory requirements change.

When we update the Terms, we will change the “Last Updated” date.

If we make a material change, we may provide additional notice through Finak, email, our website, or another appropriate method.

Where required by law, we will request renewed acceptance before material changes become effective.

Your continued use of Finak after updated Terms become effective constitutes acceptance where legally permitted.
